Sphere Entertainment Could Move to Nevada as More Businesses Flee Delaware
Despite Delaware’s recent efforts to retain its attractiveness as a leading US incorporation jurisdiction, surging costs and an unstable legal climate have caused a mass exodus

Sphere Entertainment Co., the business behind the dazzling Las Vegas Sphere entertainment venue, is considering reincorporating from Delaware to Nevada. This move should help cut costs, bolster operational efficiencies, and avoid Delaware’s increasingly hostile litigation environment. Sphere Entertainment is not the first company to respond to this shifting corporate climate as more businesses seek favorable conditions.
Nevada Could Offer Substantial Benefits
The company, helmed by CEO James Dolan, discussed the potential transition in a securities filing last week, underscoring its substantial operating footprint in Nevada and arguing that the Silver State presents a more stable and business-friendly environment for long-term growth. Dolan also noted that such a transition would be in the best interest of stakeholders.
Las Vegas has rapidly evolved as Sphere Entertainment’s operational hub, with nearly 90% of its property and equipment tied to its dazzling Las Vegas venue. Moreover, most of the company’s revenues during the last reported period came from operations in Nevada. In contrast, Delaware offers no meaningful benefits for Sphere aside from being its legal home.

Businesses Have Become Wary of Delaware
Sphere’s potential comes amid mounting corporate skepticism regarding Delaware, particularly after the controversial court ruling that invalidated Elon Musk’s $55.8 billion Tesla compensation package. Musk swiftly relocated Tesla’s incorporation to Texas, prompting other high-profile companies like Meta, Dropbox, and TripAdvisor to consider following suit.
Legal experts believe Sphere’s move could prompt more corporations to leave Delaware, especially since states like Nevada continue to market themselves as cost-effective, low-litigation alternatives. The state claims to offer companies predictability, autonomy, and competitive taxes, diversifying its status as more than just a gambling hub.
Sphere Entertainment’s Nevada redomestication will be put to shareholders for a vote. While success would mark a shift in the company’s legal identity, its headquarters, leadership, or daily operations should remain unaffected, letting Las Vegas visitors continue to enjoy the venue’s spectacle. The company likely aims to leverage its Nevada success and pursue further growth.
