Kindred Restructures Its Board Following FDJ’s Takeover

As proposed by FDJ, Kindred elected Pascal Chaffard, Edeline Minaire and Célia Vérot as new directors

Kindred Group announced major changes to its board of directors following its takeover by La Française des Jeux (FDJ). The historic deal, which cemented FDJ as one of Europe’s biggest gambling companies, led to significant restructuring for Kindred.

Kindred Unveils New Board Lineup

According to Kindred’s announcement, several directors, including James H. Gemmel, Cédric Boireau, Andrew McCue, Jonas Jansson and Kenneth Shea, have departed from its board. Evert Carlsson, the board chairman, has also exited the business.

Kindred clarified that the resignations have been rendered effective on October 14. The company also noted that Heidi Skogster and Martin Randel will keep their positions as directors until their term of office expires in 2025.

In the meantime, in accordance with article 77 of Kindred’s articles of association, with effect from October 14, the company has made several appointments to its board of directors. As proposed by FDJ, Kindred elected Pascal Chaffard, Edeline Minaire and Célia Vérot as new directors to fill the aforementioned vacancies.

The appointees’ terms are set to expire at the company’s next annual general meeting in 2025. Until then, the board of directors of Kindred will consist of the following:

  • Pascal Chaffard (chairman)
  • Edeline Minaire
  • Célia Vérot
  • Heidi Skogster
  • Martin Randel

The company added that its Audit Committee will be chaired by Heidi Skogster and will also include Martin Randel and Edeline Minaire. The Remuneration Committee, on the other hand, will be chaired by Pascal Chaffard and will also include Martin Randel and Heidi Skogster.

About the New Board Members

Kindred published some information about its new directors, describing Pascal Chaffard as a long-term FDJ employee who has served the company since 1994. He is currently the French company’s executive vice president of finance, performance and strategy.

Edeline Minaire, meanwhile, is a finance director with extensive corporate experience. She joined FDJ in 2016 and is currently serving as finance director. In this position, she led key automation and digitalization projects.

Last but not least, Célia Vérot is a former member of the French State Council where she held a number of jurisdictional positions. She has served as deputy secretary general and advisor at the French Prime Minister’s office and has also worked with a variety of companies and non-profit organizations.
